Outline of Terms of Business

The following terms and conditions outline the conditions of business between Provision Solutions Ltd (Company) and the Service Provider (Client) and they are deemed to be accepted by the Client on agreement by the Client from time to time to use Staff provided by Provision Solutions Ltd for a particular assignment.

For the avoidance of doubt, both parties confirm that Provision Solutions Ltd enters into an assignment as an independent contractor and that it is not, nor shall for any purpose be regarded as an employee for the Client.

Either party shall be entitled to terminate an assignment with immediate effect if the other party commits any material breach of the terms of an assignment, an order is made or a petition is presented or effective resolution is passed or order is made for bankruptcy or winding up of other party or a receiver or administrator is appointed over all or any of the assets of the other party or an administration order is made with regard to the other party. Termination of an assignment shall be without prejudice to any rights and obligations existing at the date of termination, or any claim by one party against the other for any breach of an assignment committed prior to termination, which shall continue unaffected.

Cancellation of Training Services will incur charges and will be the relevant percentage, on a 'sliding scale' of the total cost plus VAT @17.5%.

The services shall be carried out by an operative of Provision Solutions Ltd with all reasonable skill and care and in full compliance of relevant established current professional standards.

Provision Solutions Ltd reserves the right to supply a substitute worker, if for any reason the original worker is withdrawn from the contract.

Provision Solutions Ltd operatives will be subject to and covered by the Company insurance policy (available upon request).

No variation of these terms and conditions shall be accepted without the written consent of a director of Provision Solutions Ltd.
